Panda ELD Terms and conditions

These terms of service (“Agreement”) establish a contractual relationship between you and Panda ELD, a provider of electronic logging devices and fleet management software, along with its affiliates, employees, consultants, directors, successors, and assignees (“Company”, “we”, or “us”). This Agreement governs your use of services offered by us, whether for yourself or on behalf of an entity you are authorized to represent. By accessing, downloading, or using our services, you are bound by this Agreement and any associated policies or terms (such as our Privacy Policy).

Service Description

The “Service” refers to the electronic logging devices, fleet management software, websites, mobile websites, and mobile applications provided by the Company, along with updates or upgrades thereof.

Acceptance of Terms

Your access or use of the Service signifies your agreement to this Agreement. If you do not agree, refrain from using the Service. Your use of the Service implies agreement to this Agreement and related terms.

Access and Use of the Service

Any software or content provided by the Company as part of the Service is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service, subject to the terms outlined in this Agreement.

You are solely responsible for activities under your login or access credentials. You can grant access to End Users, such as employees or contractors, to use the Service within the boundaries of this Agreement. You must ensure compliance of all End Users with this Agreement.

In case you received access from another user, that party may have access to your account. You acknowledge the Company’s limited involvement in internal management or administration of the Service between users.

You must be 18 years or older, capable of binding contracts, and not barred under applicable laws to use the Service.

Account Creation and Usage

To use the Service, you need an account. You agree to provide accurate and updated information for your account and notify us of unauthorized account usage. You are accountable for all activities under your account.

Service Use Conditions

Your ability to use the Service depends on factors like vehicle capability, device usage, and internet connectivity.

Unauthorized Service Use

Use the Service for lawful purposes. Do not misuse it in any manner. Comply with codes of conduct, policies, and notices provided by the Company.

Data, Privacy, and Licenses

The Company values user privacy. “Your Data” refers to data you generate via the Service. The Company maintains data security consistent with industry standards. You acknowledge data storage or transmission through third-party facilities. Your Data is necessary for providing the Service, and you grant rights for this purpose.

Your acceptance of this Agreement does not grant full ownership of Your Data to the Company. You grant licenses needed for Service provision. Company may use aggregated/de-identified data.

Links to Third-Party Resources

The Service might contain links to third-party websites or resources. You are responsible for your use of such resources.

Termination

This Agreement is effective unless terminated by either party. You may cancel your account at any time. We may terminate your access to the Service at our discretion. Upon termination, certain provisions of this Agreement will survive.

Disclaimer of Warranties

The Service is provided “as is.” We disclaim warranties to the extent permitted by law.

Indemnity

You agree to indemnify and hold Company harmless from third-party claims related to your use of the Service.

Additional Terms for Apple Applications

If using Apple applications, additional terms apply, and Apple is not responsible for App Store Apps.

General

This Agreement constitutes the entire agreement between you and Company. Disputes and claims will be governed by the laws of Pennsylvania. Disputes may be resolved through arbitration or litigation.
